Draft for legal review before publication. The provider's registered identity, contact details and commercial terms must be verified against the signed agreement.
1. Parties and acceptance
These terms govern use of OCA-Clinic by the subscribing healthcare organisation and its authorised users. The contracting provider is the legal entity identified in the clinic's subscription agreement. A person accepting for a clinic confirms that they have authority to do so. Patients using a clinic's portal receive care from that clinic, not from OCA-Clinic. Mandatory rights under Egyptian law remain unaffected.
2. Software service
OCA-Clinic supplies software for scheduling, clinical records, billing and related clinic operations. Available features, support and subscription limits are those shown in the applicable order or plan. We may maintain or change the software with reasonable notice of material changes, subject to the agreement and applicable law. A feature's availability does not establish that a clinic has completed any regulatory approval or integration.
3. Right to use the software
During an active subscription, the provider grants the clinic and its authorised users a limited, non-exclusive right to use the service for the clinic's lawful operations, within the agreed plan. The provider retains its rights in the software, design and documentation; the clinic retains its rights in the records it supplies. The clinic must not resell access, share accounts with outsiders, or attempt to copy or interfere with the software except where the law permits.
4. Clinical responsibility
The clinic and its licensed professionals remain responsible for diagnosis, treatment, informed consent, patient safety, medical records and compliance with professional rules. The software is a recordkeeping and workflow tool; it does not itself provide medical advice or replace clinical judgment. No term permits denial of emergency care or waives a patient's legal rights.
5. Accounts and permitted use
The clinic must authorise users, assign appropriate access, remove access when roles change, protect credentials, and keep records accurate. Users must access patient information only for an authorised work purpose and must not share accounts, misuse data or interfere with the service. The clinic must obtain any required patient or guardian notices and permissions before entering health or children's information.
6. Patient information and instructions
The clinic determines the purpose of its patient-record processing and is responsible for lawful collection, access and retention. The provider processes those records to deliver the contracted service and on documented clinic instructions, except where law requires otherwise. The clinic retains its rights in the records it supplies. Neither party may use identifiable patient records for unrelated marketing, sale or product training without a separate lawful basis and any required permissions. See the Privacy Policy.
7. Confidentiality and security
Each party must protect patient and account information, restrict access to those who need it, and notify the other promptly of a suspected incident affecting the service so legal notification duties can be assessed. The clinic remains responsible for staff confidentiality and its own devices. Security arrangements, permitted subprocessors and hosting locations should be documented in the subscription or data-processing agreement.
8. Price, payment and refunds
The order must state the price, currency, taxes, billing period, payment method and renewal terms before purchase. A clinic may cancel at any time; unless the order says otherwise, cancellation takes effect at the end of the paid period and prevents further renewal. Unused prepaid time is refunded pro rata if the provider ends service without clinic fault or fails to remedy a material service breach; other refunds follow the order and mandatory Egyptian law. Overdue undisputed fees may lead to suspension only after reasonable notice, with lawful access to patient records preserved.
9. Suspension, cancellation and records
A clinic may cancel using the contract contact or the service's cancellation process when available. We may suspend access where necessary for a material breach, security threat, non-payment or legal duty, with notice where practicable. The clinic may request export of its records before closure; the provider will arrange a secure handover within 30 days of a verified request. Active copies are then returned or deleted on documented instructions, subject to medical, tax and legal retention duties. Backup copies expire under the approved backup schedule.
10. Responsibility and remedies
Each party remains responsible for its own breach of these terms and applicable law. Any agreed limitation of liability applies only to the extent Egyptian law allows and cannot remove mandatory patient or consumer rights, liability for fraud or deliberate misconduct, or other liability that cannot lawfully be excluded. The provider does not assume the clinic's professional duty of care.
11. Governing law and disputes
Egyptian law governs services supplied to clinics in Egypt, subject to any mandatory law that applies. The parties should first send a written complaint to the contract contact and try to resolve it. If unresolved, disputes may be brought before the competent Egyptian courts; a patient may also use the complaint routes available under applicable law.
12. Changes
We will publish the date of each revision and give reasonable advance notice of material changes through the service or the clinic's registered contact. Changes do not retrospectively remove accrued rights. Where law or the contract requires fresh agreement, the revised term takes effect only after that requirement is met.
13. Contact and provider details
Use the legal contact and registered address identified in your subscription agreement for contractual notices. The provider's registered name, registration details and address must be published here before these terms are used as a public contract. Patients should contact their clinic about their care or records.
